These Terms of Service ("Terms") govern your use of the webascent.agency website, our demonstration phone lines, and the services we provide. By using our website or engaging our services, you agree to these Terms.

1. Our Services

Web Ascent provides website design and development, local search engine optimization, review and follow-up automation, and AI-powered phone, chat, and messaging systems ("Services") for local service businesses. The specific Services for any client engagement are described in the proposal, order, or agreement provided to that client.

2. Demonstration Lines & Demo Content

Our demonstration phone lines and demonstration websites exist to show how our systems work. Demonstration businesses, reviews, statistics, and appointments shown in demos are illustrative examples, not real customer accounts, unless expressly labeled otherwise. Demo lines may not be used for harassment, unlawful recording, or any unlawful purpose.

3. No Guarantee of Results

We build systems designed to help businesses answer more calls, respond faster, and convert more inquiries. However, we do not guarantee any specific business outcome, including lead volume, call volume, revenue, search engine rankings, or review ratings, except where a written agreement with a client expressly states otherwise. Results depend on factors outside our control, including market conditions, competition, and the client's own operations.

4. Client Engagements, Billing & Cancellation

Unless a written agreement states otherwise: one-time services (such as website builds) require a deposit before work begins, with the balance due at delivery; recurring services are billed monthly in advance and continue month-to-month; either party may cancel recurring services with thirty (30) days' written notice; setup fees and completed work are non-refundable. Clients are responsible for providing accurate business information and for maintaining any licenses required to operate their business.

5. Client Content & Compliance

Clients retain ownership of their business data, customer lists, and content they provide. Clients are responsible for the lawfulness of how they use leads, contacts, and communications generated through the systems we build, including compliance with telemarketing, text-messaging, and call-recording laws applicable to their business. We configure our systems to support compliance (such as opt-out handling), but each client is responsible for its own conduct with its customers.

6. Intellectual Property

The Web Ascent name, website content, demo designs, templates, and materials are our property or used under license. We grant clients a license to use the deliverables we build for them for their own business. You may not copy, resell, or redistribute our materials without written permission.

7. Third-Party Platforms

Our Services rely on third-party platforms (such as hosting, CRM, telephone, and messaging providers). We are not responsible for outages, changes, or actions of third-party platforms, though we will make reasonable efforts to work around them.

8. Limitation of Liability

To the maximum extent permitted by law, Web Ascent's total liability arising out of or related to the Services or this website will not exceed the amounts paid to us by you in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, or for lost profits or lost business opportunities.

9. Indemnification

You agree to indemnify and hold harmless Web Ascent from claims arising out of your business operations, your use of leads or customer communications, or your violation of these Terms or applicable law.

10. Governing Law & Disputes

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Illinois, and both parties consent to that jurisdiction and venue.

11. Changes to These Terms

We may update these Terms from time to time. The current version will always be posted on this page with its effective date. Continued use of the website or Services after changes take effect constitutes acceptance.
